Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the TemplaKit website and services (the “Service”) provided by TemplaKit (“TemplaKit,” “we,” “us,” or “our”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

TemplaKit is a self-serve software platform that helps businesses assess workplace-safety compliance readiness and assemble safety documentation based on information you provide. The Service generates documents and readiness assessments from your inputs and from a structured content library. The Service is provided on a software-as-a-service basis.

2. Eligibility and Accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the information you provide, for maintaining the confidentiality of your account credentials, and for all activity under your account. Notify us promptly of any unauthorized use.

3. Subscriptions, Billing, and Payments

Merchant of record. Payments are processed by Paddle.com Market Limited (“Paddle”), which acts as the merchant of record for purchases made through the Service. When you purchase a subscription or product, you also agree to Paddle’s buyer terms. Paddle handles billing, payment, applicable taxes, and related receipts.

Subscription terms. Subscriptions are offered on a monthly or annual basis as described at checkout. Unless cancelled, subscriptions automatically renew at the end of each billing period at the then-current rate for your plan, and your payment method will be charged through Paddle.

Founding pricing. Where offered, a “founding” or locked-in promotional price applies only while your subscription remains continuously active. If you cancel or your subscription lapses, you forfeit the promotional price and any future subscription will be at the then-current standard rate.

Cancellation. You may cancel your subscription at any time through your account or the customer portal. Cancellation takes effect at the end of your current billing period; you retain access until then, and your plan reverts to the free tier afterward.

Price changes. We may change subscription prices. We will provide notice of price changes, and changes will apply to billing periods beginning after the notice.

4. Refunds

Refunds are governed by our Refund Policy, which is incorporated into these Terms by reference. Because Paddle is the merchant of record, refunds are issued through Paddle in accordance with that policy and Paddle’s processes.

5. License and Acceptable Use

Subject to these Terms and your payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service and to use the documents you generate for your own internal business compliance purposes.

You agree not to:

  • Resell, sublicense, or redistribute the Service or generated documents as a competing product or template library;
  • Reverse engineer, scrape, or attempt to extract the underlying content library or source code except as permitted by law;
  • Use the Service to violate any law or the rights of others;
  • Interfere with or disrupt the integrity or performance of the Service;
  • Share account access to circumvent subscription tiers or usage limits.

6. Your Content

You retain ownership of the business information and data you input (“Your Content”). You grant us a license to use Your Content as necessary to operate and provide the Service to you, including generating your readiness scores and documents. You represent that you have the right to provide Your Content and that it does not violate any law or third-party right.

7. Intellectual Property

The Service, including its software, structured content library, document templates, design, and trademarks, is owned by TemplaKit and protected by intellectual-property laws. Except for the limited license granted above, no rights are transferred to you. Documents you generate from your own inputs are yours to use for your internal compliance purposes; the underlying templates and library remain ours.

8. Compliance Disclaimer — IMPORTANT

TemplaKit is a documentation and readiness tool, not a substitute for professional safety, legal, or regulatory advice. The Service helps you assemble and organize safety documentation and assess readiness against requirement frameworks, but:

  • We do not guarantee that any document, program, or readiness score will satisfy OSHA, any other regulatory authority, any general contractor, or any prequalification platform (such as ISNetworld, Avetta, or similar);
  • Compliance obligations depend on your specific facts, jurisdiction, worksite conditions, and the requirements of the parties you contract with, all of which are your responsibility to verify;
  • You are solely responsible for reviewing, customizing, implementing, and maintaining your safety programs, and for ensuring your actual workplace practices comply with applicable law;
  • Generated documents reflect the information you provide; inaccurate or incomplete inputs will produce inaccurate or incomplete outputs.

You assume all responsibility for your use of the Service and any documents it produces.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT IT WILL MEET YOUR REQUIREMENTS OR ANY COMPLIANCE OBLIGATION.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TEMPLAKIT AND ITS OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING ANY REGULATORY CITATION, FINE, CONTRACT LOSS, OR PENALTY. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM OR ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

11. Indemnification

You agree to indemnify and hold harmless TemplaKit from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any law or third-party right.

12. Termination

We may suspend or terminate your access if you breach these Terms or use the Service in a way that risks harm to us or others. You may stop using the Service at any time. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.

13. Changes to the Service and Terms

We may modify or discontinue the Service, in whole or in part, at any time. We may also update these Terms; we will post the updated version with a new “Last updated” date and, where appropriate, notify you. Your continued use after changes take effect constitutes acceptance.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. You agree that any dispute will be resolved in the state or federal courts located in Hunt County, Texas, and you consent to their jurisdiction, except where applicable law gives you the right to bring a claim elsewhere.
